including the Ronald McDonald House and All-In to Fight Cancer.
GENERAL US PRIVACY REQUIREMENTS
For the purposes of this exhibit, the following terms shall have the meanings given below:
means any information that can be used to identify, locate or contact an individual,
including but not limited to (a) first name or initial and last name, (b) home or
other physical address, (c) telephone number; (d) email address or online identifier
associated with the individual; (e) social security number or other similar
identifier; (f) employment financial or health information; or (g) any other
information relating to an individual that is combined with any of the above.
Technekes agrees to comply with all applicable US federal and state laws and regulations governing the confidentiality, privacy and/or security of health, medical, employee, or other personal information, and of confidential or proprietary information relating to the Customer that Technekes shall create, acquire or receive as a result of normal business operations
Technekes understands and agrees that the confidentiality, privacy and security requirements also apply to any permitted sub-contractors, temporary employees or other third-parties or suppliers who receive any health, medical, employees, or other personal information or any confidential or proprietary information relating to the Customer. Technekes will ensure that all of these parties enter substantially similar confidentiality, privacy and security agreements to conduct normal business operations.
Technekes shall also ensure that its own employees, as well as any permitted sub-contractors, temporary employees or other third-parties of Technekes who assist Technekes in performing normal business operations, and who have access to any health, medical, employee, or other personal information and/or any confidential or proprietary information, receive appropriate privacy and security training, which shall be updated periodically in accordance with applicable laws, regulations, and industry standards, or as otherwise requested.
To ensure the privacy and security of (i) the health, medical, employee or other personal information, and (ii) the confidential or proprietary information, that Technekes shall create, acquire, receive, maintain, or transmit, Technekes shall implement adequate and reasonable safeguards to prevent the use or disclosure of such information, and to protect the confidentiality, integrity, and availability of such information. In addition, Technekes shall protect all such data, in accordance with applicable US state, US federal laws and regulations.
Technekes shall ensure that it has appropriate procedures in place to fulfill applicable state, federal or other legal requirements, should an individual request access to or changes to the Personal Information maintained by Technekes.
Technekes shall ensure that it has appropriate processes in place for the destruction/purging of any documents, materials, or media that may contain health, medical, employee, or other Personal information.
Technekes' obligations of indemnification apply also to claims, losses, actions, damages, expenses and liabilities resulting or arising from Technekes' creation, acquisition, receipt, maintenance, or transmission of health, medical, employee, or other Personal information as well as confidential or proprietary information relating to normal business operations. Technekes’ obligations under this paragraph, and its obligations to maintain the privacy and security of information created, acquired, received, maintained, and/or transmitted.
Technekes shall not use or disclose any health, medical, employee or other Personal Information that Technekes creates, receives, maintains, or transmits as a result of normal business operations.
